1. SCOPE OF TERMS AND CONDITIONS (GTC)
Terms and conditions do apply to all business transactions with our customers relating to International business & international marketing consultancy. “Customer” refers to customers; and “M3H International” refers to the firm. The terms and conditions shall be automatically recognized, agreed upon and accepted by the customer before, during and after issuing business orders, consultancy orders or signing agreements.

 

2. ORDERING AND PERFORMANCE

  • The basis of the business relationship is the agreement, or the written order issued by the customer to M3H International, which are the scope and the remuneration.
  • The customer may order via phone, post, fax, or email. We also accept informal sales orders. The customer receives an order confirmation via fax, email, or post after receipt of order. Order delivery date will be specified after order confirmation.
  • For special requirements/services, we have the full right to engage external consultants whom M3H International is in full cooperation with.
  • Updates and changes of quotes and orders are set in writing by both parties and shall be an integrated part of the agreement between M3H International and the customer.

3. PRICES OF SERVICES

  • All prices of M3H International services are net prices. In addition, the 19% VAT will be disclosed separately in the invoice.
  • Travel expenses, hotel accommodation charges, material costs and common expenses are not included in the invoice for the services and shall be charged separately and additionally.
  • The road trip expenses will be charged EUR 0.50 per kilometer. Air flights, train tickets, car rentals and taxi costs to be covered by the customer. Full Accommodation and full travel expenses will be charged in advance for domestic, EU and international trips.

4. PAYMENT AND MATURITY
Payments must be paid and cleared within 7 days of from the receipt of invoice.

  • For 30 days services and over, payments are required monthly.
  • For contracts with installment option, payment is as following:
  • First installment of 30% of the total amount is due 14 days after conclusion of the contract at the earliest but after presentation of the invoice. It matures within five business days.
  • The second installment in another 30% of the total amount is due after providing half of the advice or service.
  • The third installment for 40% of the total amount is due upon completion and within seven working days after invoicing. Modified payments terms are to be agreed on by both parties in writing.
  • If payments are not made as per terms and conditions or as agreed on with customer, the advice or service will be on hold/frozen until payments are completed.

5. DELIVERY PERIODS AND DATES
Delivery periods and dates can be only indicative times or estimated dates.

  • Delivery times specified to the best of our knowledge.
  • Non-compliance with an appointment only entitles the customer to exercise the rights granted by law if he/she/it has set us an appropriate grace period.

6. OBLIGATION OF THE CUSTOMER
The customer is fully obligated to provide us with all necessary documents, information, and materials for the execution of the order.

 

7. SPECIAL AGREEMENT
The customer agrees that the results of the service only for their own purposes to use. The received information, documents, templates, emails, and sale are not permitted to be used for commercial or publication. Publications are coordinated with M3H International GmbH. For each case of culpable infringement of this protection agreement, the customer be penalized by M3H International GmbH a flat-rate compensation amounting to EUR 3.000.-per case due on the last day of the month.

 

8. CONFIDENTIALITY CLAUSE
We are obliged to maintain confidentiality on all operational, business, and private matters within the consulting activities known confidentiality clause. This obligation to secrecy applies equally to our vicarious agents. Confidentiality applies even after termination of the contract and may be lifted only by the customers in writing. In addition, we are obliged to keep the documents provided for consulting carefully and to protect against access. There are no UNT passed from the client to us.

 

9. COMPLAINT

  • Refunds, changes, exchanges, and alteration are within 10 days. Customers who contact M3H International after the 10 days wave their right for this service.
  • Complaints are accepted via phone or in writing. Evidence of incident, time and date will be required.
  • Liability is accepted based on a violation of a copyright or claims third parties.

10. SEVERABILITY
If any provision of these terms and conditions become invalid, the remaining provisions are not affected.

 

11. APPLICABLE LAW
The relationship between the customer and M3H International is governed exclusively by the German law.

 

12. PLACE OF JURISDICTION

  • The place of jurisdiction performance is the city of our business location.
  • All directly or indirectly arising disputes between M3H International GmbH and the customer shall be directed to the local jurisdiction located in M3H International business address.
